(spółka z ograniczoną odpowiedzialnością, Poland's limited liability company) is a formal path to winding up the company's legal existence — from the shareholders' resolution, through satisfying creditors and distributing assets, to removal from the National Court Register (KRS). The procedure lasts at least about six months, because the Act requires a three-month window for creditors. In 2026, most steps can be carried out electronically via the Court Register Portal (PRS) or the S24 system.

When a sp. z o.o. must (or may) enter liquidation

Dissolution of the company, which precedes liquidation, is triggered by one of the causes set out in the Commercial Companies Code:

causes provided for in the articles of association (e.g. lapse of time, achievement of the purpose, reaching a specified turnover);

a resolution of the shareholders to dissolve the company or to transfer the registered office abroad — adopted in the form of a notarial deed, by a 2/3 majority, unless the articles provide for a stricter majority;

in companies registered in S24 — a resolution of the shareholders signed by each of them with a trusted, qualified or personal signature (without a notarial deed);

declaration of the company's bankruptcy;

a final court judgment dissolving the company;

other causes specified in the Act.

On the day the resolution is adopted (or another cause of dissolution occurs), liquidation opens. Unless the articles of association provide otherwise, the current members of the management board become the liquidators. However, the shareholders may appoint other persons as liquidators — e.g. an experienced lawyer or accountant. The authority of the management board expires on the day liquidation opens; a commercial power of attorney (prokura) expires by operation of law.

Liquidators can be dismissed by a shareholders' resolution or — in special cases — by a court order. Liquidators have the same registration obligations as the management board, including full responsibility for tax settlements, ZUS contributions and the proper closing of the accounting books.

Filing the opening of liquidation with the KRS

Within 7 days of liquidation opening, the liquidators report this fact to the KRS entrepreneur register. The liquidators deregister employees from ZUS using the ZUS ZWUA form within 7 days of the end of employment.

The company remains in the VAT and CIT taxpayer register until it is removed from the KRS.
